Rules and Regulations

Each member of the Institute of Directors in Tanzania (IoDT) agrees to be bound by these Rules and Regulations. Members undertake to use their best efforts to comply with the IoDT Rules and Regulations as updated periodically.

Membership may be suspended or cancelled for violation of any of these Rules and Regulations or the Code of Conduct, at the sole discretion of the IoDT Committee.

Definitions

In these Rules:

  • IoDT means the Institute of Directors in Tanzania, located at the IoDT Headquarters in Dar es Salaam, Tanzania.
  • Membership Card refers to the card issued to IoDT members as evidence of their membership status.
  • Membership Programme refers to the range of benefits offered to members, including access to special rates, discounts, and resources negotiated for members of IoDT.
  • Membership Committee refers to the Directors appointed by the IoDT Board to manage membership activities, including, but not limited to, reviewing membership applications, setting membership fees, cancelling memberships, and periodically updating the Rules and Regulations.
  • Application Fee refers to the one-time fee that must be paid by a prospective member when applying to join the IoDT, which covers administrative costs.
  • Membership Fees refers to the annual fees that must be paid by members in each category of membership.
  • Member refers to any individual who has been admitted as a member of the IoDT in any of the categories set forth, including Fellow, Member, and Associate.
  • Rules and Regulations refers to these rules, as amended or updated from time to time. In case of any conflict or inconsistency within this document, the Committee will make a final decision on its interpretation, and such interpretation will be binding.

Membership and Application Procedure

Prospective members must apply for membership to the IoDT by completing the application form available on the IoDT website. The completed form must be submitted with a copy of the applicant’s CV and payment of the non-refundable application fee, which is currently 100,000 TZS.

Eligibility for membership will be determined by the Membership Committee based on the membership criteria outlined. This decision is final and binding. If the application is approved, the Membership Committee will allocate the appropriate membership category based on the applicant’s experience and qualifications.

The Membership Committee reviews applications on a regular basis, typically weekly. If no objections arise, membership will be granted. However, the Board may request additional documentation or require an interview for further clarification.

Applicants will be notified in writing regarding the outcome of their application. Membership rights are non-transferable.

The IoDT Board reserves the right to amend or supplement these terms and conditions as necessary.

Membership Categories

The IoDT recognizes several categories of membership, each designed to accommodate individuals at different stages in their career or involvement in corporate governance:

  1. Associate
    • A person interested in promoting good corporate governance.
    • Aspiring to become a full Member of the IoDT or wishing to enroll in the IoDT’s Training and Education Programme.
    • A full-time student at a recognized tertiary education institution.

    This membership category serves as a grooming stage for individuals who are not yet eligible for full membership. Associate membership is reviewed every three years to assess eligibility for advancement.

  2. Member
    • A person who is over 21 years of age and has at least five years of experience in a managerial role, including directors, company secretaries, senior executives, or academics at an appropriate level.
    • Must work for an organization with a minimum annual turnover of 500 million TZS.
    • An Associate Member who has completed qualifying courses may also qualify for Member status.
  3. Fellow
    • A person with 10 or more years of experience in corporate governance, business management, or related fields.
    • Must have worked in an organization with a minimum annual turnover or budget of 1 billion TZS.
    • Recognized for their significant experience and contribution to corporate governance, including strategic decision-making.
  4. Retired
    • A person over the age of 65, who has been a Member or Fellow for at least three continuous years and is no longer active in business.
    • Can maintain membership but will be subject to reduced fees.
  5. Overseas Members
    • Individuals who reside outside Tanzania for the majority of the year.
    • Overseas members retain the same rights and privileges as domestic members and may maintain their membership while residing abroad.

Changes in Membership Details

Members must promptly inform the Membership Committee of any changes to their personal or contact details. This ensures that all records are current and accurate.

Change of Membership Category

A member wishing to change their membership category may do so by submitting an updated CV and completing the appropriate online or written request. The Membership Committee will review the request and provide a response within 30 days. Any additional membership fees will be due on a pro-rata basis once the new category is confirmed.

Grievance Procedure or Appeal

A member may lodge an appeal in writing to the Membership Committee if their membership is suspended, cancelled, or if they have any other grievances. The Committee will review the appeal within 30 days and make a recommendation to the Board. The Board’s decision will be final, and the member will be notified in writing.

Reputation

Members are expected to act in a manner that upholds the reputation and integrity of the IoDT. Any action or behavior that damages or could damage the Institute’s reputation may result in disciplinary action, including suspension or termination of membership.

Payments and Fees

Members are required to pay their Application Fee and Membership Fees promptly, within 30 days of being billed. Non-payment may result in suspension or termination of membership.

The annual membership fees are as follows:

  • Associate: 250,000 TZS
  • Member: 500,000 TZS
  • Fellow: 750,000 TZS
  • Retired: 150,000 TZS

Membership fees are subject to review and may change annually.

Membership Certificate

Upon approval of membership, new members will receive a Membership Certificate. This certificate serves as official recognition of their membership with the IoDT.

Membership Programme and Benefits

The IoDT Membership Card entitles members to various benefits, including discounts on services, access to exclusive events, and professional resources. These benefits may vary from year to year.

Data Protection

The IoDT commits to protecting the privacy of its members. Any personal data collected will be held in strict confidence and will not be shared without the member’s consent, in compliance with Tanzanian data protection laws.

Members Register

The IoDT maintains a register of its members, which is accessible to the public. Members’ names and details will be listed on the IoDT website, and the register is open for inspection by any member or officer of the Institute.

Termination of Membership

Members may voluntarily terminate their membership by providing at least two months’ written notice before the end of the financial year. If the required notice is not provided, the following year’s membership fees will become due.

Termination for Failure to Pay Membership Fees

If a member fails to pay membership fees after two reminders, their membership may be suspended or terminated.

Termination for Breach

If a member breaches any of the IoDT’s Rules and Regulations or Code of Conduct, and does not remedy the breach within 30 days of being notified, their membership may be terminated.

Website Access

Members will be given access to a members-only section of the IoDT website, where they can access exclusive content and services. The password for this access is personal and should be kept confidential.

Library and Resources

The IoDT Library and other resources are available to all members. Borrowing privileges are subject to the following rules:

  • Only fully paid-up members may borrow materials.
  • Books must be signed in and out.
  • Borrowed materials must be returned within 30 days.
  • Damaged or lost items will be charged to the member’s account at the replacement cost.

Training and Events

For IoDT-hosted events, members are required to pay in full at the time of booking. If a member cancels within 5 days of the event, the payment is non-refundable. A cancellation within 5 to 14 days may incur a 15% penalty fee.

Nomination Procedures for Board Elections

Members wishing to nominate themselves or others for election to the IoDT Board must submit a nomination form, supported by a CV and the names of a proposer and seconder.
