The Board

The Directors
The Board is composed of eleven independent non-executive directors (including the Chairman), Board Secretary and the Chief Executive officer (CEO) as the Ex- official. All directors of the Company are exercises their powers honestly in good faith in the best interests of the company and for the respective purposes for which such powers are explicitly or impliedly conferred. They are also exercising the degree of care, diligence and skill that a reasonably prudent person would exercise in comparable circumstances.

The CEO is responsible, inter alia, for driving the implementation of the IoDT’s strategy, striving consistently to achieve the company’s goals and objectives and ensuring long-term sustainability of the Company.

The Institute is governed by a board of Directors which consists of the following members:-

John Baptist Rugambo
Chairman of the Board
Director of Corporate Affairs at CRDB Bank Plc., he joined the bank on 1st November 1999. Before his current position he worked as Director of Marketing and Research, Marketing Manager, Project Manager Smart Card and Manager Institutional Customers. Before joining CRDB Bank he worked for Citibank as Head

of Customer Service and Relationship Officer. He holds Masters and Bachelor Degrees in International Business Administration majoring in Marketing from the United States International University of Africa, Nairobi.

Frank Steven Mwalongo
Board Secretary
He is the Advocate of High Court of Tanzania with practical experience in handling legal and corporate affairs. Frank is a Legal Practitioner with specialty in labor law, property law, mining laws, intellectual property, corporate law, media law, tax law and litigations. Frank is currently the Managing Partner at Apex

Attorneys Advocates where he has been working since 2008.: Prior to joining Apex Attorneys Advocates he was Chief Legal Advisor and Corporation Secretary at Muhimbili National Hospital from April 2006 to December 2009: Advocate, Law Associates Advocates from December 2005 to April 2006; Legal Officer, Law Associates Advocates from June 2003 to December 2005; and Legal Intern, at Law Associates Advocates from February 2003 to June 2003. He holds L.L.B from University of Dar-es-Salaam and MBA from Eastern and Southern African Management Institute (ESAMI).He is an Advocate, Notary Public and Commissioner for Oath since December 2005; Arbitrator registered with the Tanzania Institute of Arbitrators and National Construction Council. Frank is a member of Membership: Tanganyika Law Society, East African Law Society and Tanzania Institute of Arbitrators.

Mr. Leonard C Kitoka
Board Member
He is the Non-Executive Director and current Chairman of the Board of Directors of VFP. He also serves on the Board Credit Committee. Leonard has over 20 years’ experience in Management Consulting in the Great Lakes Region. He is currently the Managing Director and the Founder of INNOVEX, a Tanzanian professional services firm. His employment records include; Audit

Associate at Coopers & Lybrand in 1998; Public Sector Consultant at PWC between 2000-2005. Leonard decided to work as Independent Consultant from July 2006 to December 2006, after which he decided to establish his own consulting firm. Leonard served on the Board of Directors of DCB Commercial Bank for five years. He is also Board member of the Institute of Directors in Tanzania, TOL Gases Plc, Resolution Insurance Ltd, Legacy Capital Partners Ltd, Miracle Corners of the World (an American NGO promoting oral health care), MUKIKUTE (local NGO fighting Tuberculosis), Africa Development Consultants (Rwanda) and INNOVEX.

Dr.Irene Isaka
Board Member
She holds a PhD in Economics from University of Dar es salaam and Master’s degree in Economics from the University of Dar es Salaam, specializing in Econometrics and Monetary Economics. She holds a Bachelor’s degree in Economics, specializing in

industrial economics, a graduate Diploma in Pension Fund investments, and a diploma in Risk Management for Investment of Pension Funds and Housing Finance. She had 15 years of work experience at numerous organizations, including the National Social Security Fund, the Parastatal Pensions Fund, Stanbic, and the International Development Group, before being appointed the Director General of the SSRA.

Christopher A Mageka
Board &BAC Member
Christopher is INNOVEX Audit Partner. He is a qualified accountant (CPA) in Public Practice, an Accredited Banker and a Qualified Procurement and Supplies professional

(CSP). An MBA, Christopher has gained extensive experience in accounting, auditing, financial due diligence review, financial management and micro finance feasibility studies in both the central government and local government authorities in Tanzania. On several occasions, Christopher has presented audit reports to Parliamentary Oversight Committees in particular responsible for overseeing Public Authorities and Other Bodies in Tanzania. In the past, Christopher has worked for PricewaterhouseCoopers in Tanzania and Nigeria. Later on, he worked as Audit Partner at DCDM (now BDO East Africa). He is fluent in written and spoken Swahili and English.

Augustino E Mbogella

Mbogella started his career with Coopers and Lybrand one of the predecessor firms of PwC in 1996. He has over 20 years of practice, training and consulting in Internal Audit, Risk Management, Controls and Governance matters. For 10 years He was the

Chief Audit Executive of NMB Bank Plc, one of the biggest banks in Tanzania. He has Strong understanding of the banking business, major processes, risks and controls as well as Bank regulations. He is a Certified External Quality Assessor of Internal Audit Function. He has been involved in such assessments both within and out of Tanzania. He is Certified Trainer of the Institute of Internal Auditors (IIA). He has trained extensively on risk based audit, audit report writing, CIA review classes, Boards and Audit Committee operations, Risk Management, Governance, fraud prevention, detection and investigation strategies. He has spoken at IIA conferences in several African countries, Latin America and at IIA International Conference. He is also a regular speaker at conferences organized by the National Board of Accountants and Auditors, Tanzania (NBAA). He sit on the Global Board of the IIA and the Institute of Directors Tanzania. He was also a member of the International Internal Audit Standards Board (IIASB) 2012-2018. IIASB is responsible for developing internal audit standards and implementation guidance for use globally. He has experience in analyzing organization’s problems, identifying root causes and potential solutions to address the problems for enhancing competitiveness, reducing costs, increasing revenues, and improving customer service offerings. He has supported Board Audit Committees to execute their responsibilities in an effective way and in line with best practices to enhance governance in organizations. He has professional and academic qualifications in Business, Finance and Auditing with an impressive track record of more than 20 years of hands-on experience in Africa

Julius C Mcharo
Board Member & BAC Chairman
Julius Mcharo is a professional banker with over 20 years’ experience in banking, microfinance and financial markets where he ascended the leadership ladder to become the Chief Executive Officer of a regional bank. He gained experience from working in Treasury management, investment and institutional banking in various

international/regional banks such as Standard Chartered, Citibank and Commercial Bank of Africa. Currently, he serves on a number of boards including Mawinyi Investment Limited and Victoria Insurance Brokers Limited. He holds B.com (Finance), MBA, CPA (T) and Certificate of Directorship.

Martin J Mmari
Board Member
Martin is an Expert in Fund Management and Corporate Governance apart from his vast Experience in financial sector in East Africa with deep expertise in financial management, financial accounting, corporate governance, Strategic management, Performance management, risk management and Credit management, In his 27years of experience, he has been in the senior management of a large Pension

Fund in Tanzania, after a long stint, at the start of his career, in the Central Bank of Tanzania. He has been involved in delivering shareholders’ value and growth in a number of companies where he served as member of the board of Directors. Notable case is his involvement as board member and chairman of the largest Universal Bank in Tanzania, CRDB Bank PLC for over a decade. Martin is a Certified Public Accountant (CPA-T), MBA (International Banking and Finance) from Birmingham University (UK), and Certificate in Directorship from Institute of Directors in UK. He has been associated with academic institutions in the capacity of member of council for University of Dodoma; Member of University Funding Promotion Committee of University of Dar Es Salaam.

Prof.Sylvia Temu
Board Member
Prior to joining the Ministry, Dr. Temu served as Deputy Vice Chancellor In charge of Research at the University of Dar es Salaam, where she was an academic staff for exactly 30 years. As a Professor in Business Management, she has conducted research

and taught in the areas of Accounting and Finance, Small Business and Project Management, and Strategic Planning. Her leadership experience in higher education includes being in charge of university finances and strategic planning as the Director of Planning and Finance, University of Dar es Salaam (UDSM); as the Director of UDSM Consultancy Bureau, Deputy Director UDSM Centre for Continuing Education as well as Head of the department of Accounting at UDSM Business School. In addition to consulting, her corporate experience include serving as a Director in various Boards including the National Board of Accountants and Auditors, UNESCO Finance and Administrative Committee, CRDB Bank Plc, Standard Chartered Bank Tanzania, Public Procurement Regulatory Authority as well as in diverse Universities’ Senates and Councils. She has published on accounting and finance, and small business management topics and authored a textbook on Auditing.
